1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of services provided by Lumina Code ("we," "our," or "us"), a business operating from Suite 9-12, Menara Hap Seng, Jalan P. Ramlee, 50250 Kuala Lumpur, Malaysia.

By accessing our website, engaging our services, or communicating with us, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services.

2. Definitions

For purposes of these Terms:

  • "Services" refers to AI integration consulting, strategy development, solution implementation, and capability enhancement services provided by Lumina Code.
  • "Client" or "you" refers to any individual or organization engaging our services or accessing our website.
  • "Website" refers to all web pages and content accessible at luminois.pro.
  • "Agreement" refers to these Terms together with any service-specific agreements or statements of work.
  • "Deliverables" refers to work products, documentation, or solutions provided as part of our services.

3. Services Description

3.1 Service Offerings

Lumina Code provides professional AI integration services including:

  • AI integration strategy development and planning
  • Solution architecture and technical implementation
  • Capability enhancement and optimization
  • Related consulting and advisory services

3.2 Service Availability

Services are provided primarily to clients in Malaysia and are subject to availability. We reserve the right to decline engagement requests at our discretion.

3.3 No Guarantees

While we apply professional expertise and reasonable care, we do not guarantee specific outcomes or results from AI implementations. Results depend on numerous factors including client systems, data quality, and organizational factors beyond our control.

4. Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate information and necessary access to systems and data
  • Designate appropriate personnel for collaboration and decision-making
  • Review and respond to deliverables within agreed timeframes
  • Maintain confidentiality of proprietary information shared during engagements
  • Comply with all applicable laws and regulations in use of delivered solutions
  • Inform us promptly of any issues or concerns during service delivery

5. Payment Terms

5.1 Pricing

Service fees are specified in individual proposals or statements of work. Pricing is quoted in Malaysian Ringgit (RM) unless otherwise agreed.

5.2 Payment Schedule

Unless otherwise specified:

  • Initial deposit may be required before work commences
  • Progress payments are due at agreed milestones
  • Final payment is due upon project completion
  • Payment terms are typically net 14 days from invoice date

5.3 Late Payment

Overdue payments may incur late fees as permitted by Malaysian law. We reserve the right to suspend services for accounts with outstanding balances.

5.4 Expenses

Clients are responsible for reimbursing reasonable expenses incurred during service delivery when previously approved.

6. Intellectual Property

6.1 Our Intellectual Property

Lumina Code retains all rights to our methodologies, frameworks, templates, and pre-existing intellectual property. Clients receive a limited license to use these materials solely for the purpose of the engagement.

6.2 Client Intellectual Property

Clients retain ownership of their data, business information, and pre-existing intellectual property. We use client information only as necessary to provide services.

6.3 Deliverables

Upon full payment, clients receive ownership of custom deliverables created specifically for them, excluding our general methodologies and tools.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation continues for three years after engagement conclusion.

Confidential information does not include information that:

  • Was publicly available before disclosure
  • Becomes publicly available through no breach of this agreement
  • Was independently developed without use of confidential information
  • Is required to be disclosed by law or regulation

8. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • Our total liability for any engagement shall not exceed the fees paid for that specific engagement
  • We are not liable for indirect, consequential, special, or punitive damages
  • We are not responsible for losses resulting from client decisions, third-party actions, or factors beyond our reasonable control
  • Services are provided "as is" without warranties beyond those explicitly stated in service agreements

This limitation does not apply to liability that cannot be excluded under Malaysian law, such as liability for gross negligence or willful misconduct.

9. Indemnification

Clients agree to indemnify and hold harmless Lumina Code from claims arising from client's use of deliverables in ways not recommended by us, violation of applicable laws, or infringement of third-party rights through client-provided materials.

10. Termination

10.1 Termination by Client

Clients may terminate engagements with 14 days written notice. Client remains responsible for payment of work completed and committed expenses.

10.2 Termination by Lumina Code

We may terminate engagements if:

  • Client fails to pay invoices when due
  • Client breaches material terms of agreement
  • Continuation would require us to violate laws or professional standards

10.3 Effects of Termination

Upon termination, client receives work completed to that point, confidentiality obligations survive, and outstanding payments become immediately due.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

11.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt resolution through good faith discussion.

11.3 Mediation

If informal resolution fails, parties may agree to mediation before pursuing litigation.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between parties and supersede prior understandings.

12.2 Severability

If any provision is found unenforceable, remaining provisions continue in full effect.

12.3 Waiver

Failure to enforce any right does not constitute waiver of that right.

12.4 Assignment

These Terms may not be assigned without written consent, except we may assign to affiliates or in connection with business transfers.

12.5 Force Majeure

Neither party is liable for delays or failures caused by circumstances beyond reasonable control.

13. Changes to Terms

We reserve the right to modify these Terms. Updated Terms will be posted on our website with a revised effective date. Continued use of services after changes constitutes acceptance.

Material changes affecting active engagements will be communicated directly to affected clients.
